      Portfolio assessment

      We work closely with our Private Equity clients to help them maximise their portfolio value. Our portfolio assessment services support funds in making capital allocation decisions, identifying value creation opportunities and preparing PortCos for exit.

      We assess value realisation progress, risk exposure and upside potential across the portfolio, translating value insights into clear actionable plans. Our deep commercial and operational experience allows us to exploit upside opportunities, alongside identifying underperformance to provide meaningful value improvements and optimal exit outcomes. 

      Preparation for sale

      Prior to sale, our Value Creation team works with you to create compelling fact-based business and value creation plans that help you realise higher valuations, de-risk the deal diligence process and ultimately achieve better exit outcomes.

      Deal strategy

      We provide rigorous strategic, operational and financial advice that assists you with decisions on where to invest and how to unlock new value. Our approach delivers rigorous strategic support before, during and post-deal, including:

      Commercial due diligence

      During the deal, we provide you with a clear, evidence-based view of the target’s true potential market opportunity and the associated risks. Our commercial due diligence services combine deep sector experience, primary research and rigorous analytics to assess market attractiveness, competitive dynamics and customer buying behaviours.

      Using scenario and sensitivity analysis, we pressure test an investment’s thesis, to determine ‘what needs to be true’ for the deal to deliver sustainable value and support informed decisions.

      Operational due diligence

      We work with investors and executive teams during the deal to conduct operational due diligence services that provide a fact-based assessment of how the target organisation operates and its ability to effectively scale and sustain profitable growth. Our tested operational due diligence approach uses robust analytics and primary research to identify operational strengths, constraints, risks and opportunities to materially improve long-term value creation.

      Our due diligence work focuses on the levers that will ‘move the dial’ on the target’s performance, assessing management’s plans and assumptions relating to cost structures, organisational capabilities, supply chain resilience, data and technology, and operational effectiveness and efficiency.

      Value creation identification

      During a deal, we provide value creation services that help investors and corporate leaders identify where there are opportunities to unlock value in the deal. We work at pace to assess the target’s existing plans and to identify incremental revenue, margin and cost optimisation opportunities, translating them into pragmatic strategic initiatives and plans.

      The results arising from our in-deal value creation services help you refine your investment thesis, inform deal pricing and structure, and prioritise post-deal value realisation activities.

      Value creation planning and realisation

      Approximately 70–75% of mergers and acquisitions fail to deliver the expected returns. This failure is often due to poor integration, over-pricing/valuation, and cultural differences. To overcome these and other common pitfalls, we work closely alongside our Integration and Separation colleagues to deliver a comprehensive and fully integrated 100-day post-merger integration plan that clearly articulates where and how to create value post deal closure.

      Our value creation plans span the whole enterprise to help unlock untapped value potential. They typically cover five key value levers, including revenue enhancement, cost optimisation, margin improvement, releasing cash and reimagining business and operating models.
