Focus on Value Creation
The nature of value creation in private equity has changed significantly – whilst in the past the focus was primarily on leverage and, later, multiple expansion, a changed interest rate environment has led to a strong focus on value creation within the portfolio company itself. At the same time, the importance of identifying value creation potential as part of the deal underwriting process is increasing, even before the transaction is signed. At this stage, not only should the value levers for the holding period itself be established, but also the potential for a future investor following the holding period.
Furthermore, the focus is shifting more strongly towards investment opportunities outside traditional ‘sponsor-to-sponsor’ deals, particularly carve-outs, take-privates and family-owned businesses, for which private equity is increasingly establishing itself as a transformation partner.
Our experts maintain a comprehensive overview of both current market developments (for example, through our quarterly publication KPMG Pulse of Private Equity) and the needs of our private equity clients – as our extensive experience demonstrates.
Our expertise in the private equity investment cycle
In a challenging market environment, early transparency regarding opportunities and risks is becoming increasingly important. We help private equity investors not only to identify value drivers, but also to quantify them reliably and translate them into concrete roadmaps.
Our approach covers the entire PE investment cycle – from sourcing new portfolio companies, through the holding period, to the exit – and includes the following areas:
Deal Execution
We provide support on commercial, financial, tax, technological (AI) and operational issues relating to due diligence, as well as the management of the transaction process itself, for the acquisition of new portfolio companies.
Particularly in an environment where AI and the interplay of various workstreams are increasingly influencing deal value, our multidisciplinary approach – characterised by coordinated due diligence from a single source – has proven its worth in providing comprehensive support to private equity clients on all aspects of the deal process.
Value Creation
We work with our private equity clients to develop programmes aimed at improving profitability, driving growth and delivering operational transformation – right from the deal underwriting stage, throughout the holding period and in preparation for exit.
In particular, when acquiring corporate carve-outs, we draw on our extensive experience and tried-and-tested Day 1 to Day 3 playbooks, and use market-leading benchmarks to identify specific opportunities for value creation at an early stage.
Portfolio Performance
We ensure transparency regarding key performance indicators, cash flows and risks.
In addition to our comprehensive expertise in CFO offices, we support private equity portfolio companies in modernising their data, systems and technology environments, thereby laying the foundations for effective management and sustainable value creation.
Governance und Compliance
Audit and tax advisory services for portfolio companies are among our core areas of expertise.
Private equity is increasingly operating in an environment of heightened regulatory requirements. We provide support with structures, processes and controls that meet these expectations. In doing so, we combine traditional governance and compliance issues with the use of modern AI and comprehensive expertise in cybersecurity and resilience.
Exit Preparation
A successful exit for a portfolio company begins well before the sale process.
We support investors in developing their equity story, identifying additional value creation opportunities, ensuring data quality and preparing for due diligence by potential buyers. Drawing on our leading expertise in exits, we lay the groundwork to realise the best possible exit path – whether a trade sale or an IPO – through a flexible dual-track process.

Our services for private equity funds
In addition to the services we provide in relation to deals and portfolio companies, our private equity advisory services are also aimed directly at funds and their managers (general partners).
In this regard, as well as providing audit and tax advice to funds, we also assist with administrative matters relating to fund managers, as well as regulatory and compliance issues – increasingly supplemented by technology-enabled managed services and data and AI solutions across the entire value chain, which ensure that fund platforms are set up to be efficient, scalable and future-proof.
