Gee is a Partner in the SPA Advisory team in the UK and has 17+ years of M&A transaction, audit and advisory experience with KPMG and another Big4 firm. 

              

He has advised clients on more than 300 transactions, providing commercial, strategic and tactical advice, both pre-and post-deal, in respect of sale and purchase agreements and other transaction documents.

For the past 12+ years, Gee has been providing clients with strategic and tactical advice in respect of:

  • Negotiating sale and purchase agreements, particularly in respect of purchase price adjustment mechanisms such as completion accounts and earn-outs, as well as locked box structures.
  • Preparation / review of completion accounts and earn-out accounts, including identification of areas of potential dispute.
  • Commercial negotiations in respect of disputed items, including assisting the Expert Determiner on an objective assessment of the relative merits of such items.
  • Assisting with formal submissions to independent experts where such disputes reach a formal stage, including drafting accounting arguments to support a client’s position.
  • Commercial negotiations in respect of EV to Equity Value bridges/locked box papers.
