Capital Markets

Your partner in capital market transactions

Exploring exit options or facing an Initial Public Offering (IPO) in Sweden or the US. Our experts ensure quality throughout all phases of the transaction. We work closely together with our clients on transactions such as IPOs, list changes, restructurings, acquisitions, divestitures and spin-offs. We perform IPO readiness assessments, support with gap closing activities e.g. within financial reporting support, corporate governance, risk and internal controls, IT governance and provide sustainability reporting expertise.

Our experts prepare clients for IPOs and create sustainable strategies to ensure Capital market readiness before and post the transaction. As part of KPMG’s global network, we help companies both nationally and internationally with multinational teams, assisting both large corporations and growth companies.

IPO and ESG Readiness

Is your company preparing for an IPO or facing increasing ESG and sustainability requirements? We offer one of the market’s broadest portfolios in IPO and ESG readiness, focusing on customized and integrated services based on your company’s specific needs.

With our expertise and dedicated team, we are a reliable partner for a successful IPO and a strong presence in the capital market. The close collaboration with stock exchanges, investment banks, legal and financial advisors allow us to achieve optimal results and ensure smooth processes.

In case of disruptions in critical financial processes, we support your business in all steps from impact analysis to testing, and approval of continuity and disaster recovery plans.

Through risk analyses, internal control frameworks, company specific policies and documents, we help ensure effective risk management.

Our sustainability experts help with sustainability efforts, such as reporting and double materiality assessments (DMA).

Whether your company is heading towards a regulated or a growth market, we recommend starting with an IPO readiness analysis. We conduct a gap analysis based on regulations, and our established methods. You will receive a report outlining rules, observations and recommendations, along with a detailed action plan aligned with your timeline. In addition, we also provide insights based on the analysis to close any potential gaps.

We assist in designing and documenting effective IT governance, including policies, decision-making, responsibility allocation and IT environment monitoring. Additionally, we also help design and implement general IT controls (GITC).

For listings on regulated markets in Sweden (Nasdaq Stockholm Main Market), we provide listing audits and report to Nasdaq Stockholm’s Corporate Committee. We work proactively with frequent check-ins to avoid surprises late in the process.
